Services

Express Services Group provides software development, IT consulting, web development, cloud infrastructure, and related technology services. The specific scope, deliverables, and timelines for each project will be outlined in a separate service agreement or statement of work (SOW) agreed upon by both parties before work begins.

Client Responsibilities

To ensure successful project delivery, clients agree to:

Provide accurate and complete project requirements, assets, and access credentials in a timely manner.
Designate a primary point of contact for communication and approvals.
Review deliverables and provide feedback within agreed-upon timelines.
Ensure that all content and materials provided to us do not infringe on any third-party intellectual property rights.

Intellectual Property

Upon full payment, the client receives full ownership of the source code and deliverables produced specifically for their project, unless otherwise stated in the SOW. Pre-existing frameworks, libraries, and tools used during development remain the property of their respective owners. Express Services Group retains the right to use general knowledge, techniques, and non-proprietary code patterns gained during the engagement.

Payment Terms

Payment terms will be outlined in the project agreement. Unless otherwise specified:

A deposit may be required before work commences.
Invoices are due within 15 days of issuance.
Late payments may incur a fee of 1.5% per month on the outstanding balance.
We reserve the right to pause or suspend work on projects with overdue balances.

Limitation of Liability

Express Services Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability for any claim related to our services shall not exceed the total amount paid by the client for the specific project in question. We are not responsible for losses resulting from third-party services, hosting providers, or factors outside our reasonable control.

Termination

Either party may terminate a project engagement with 30 days’ written notice. Upon termination:

The client is responsible for payment of all work completed up to the termination date.
All completed deliverables paid for in full will be transferred to the client.
Any deposits for uncompleted work may be refunded on a pro-rata basis at our discretion.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or the appropriate courts.
